Restated Charter February 19, 2015 - Charter Date August 1995

We the undersigned citizens of the United States of America and residents of the State of Nevada, having associated ourselves for the purpose of forming a non-profit, civic corporation for the purpose set forth below, under the provisions of NRS Statues 81.410 et seq.,do hereby certify as follows.

I

The name of this corporation is the BEATTY MUSEUM and HISTORICAL SOCIETY.

II

Statement of Purpose:   The purpose for which the corporation is organized are exclusively religious, charitable, scientific, literary and educational within the meaning of section 501 (c) (3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

To preserve in any form the heritage of specifically BEATTY NEVADA and THE BULLFROG MINING DISTRICT, inclusive of the surrounding camps of the area of Nye County and the State of Nevada.

To acquire, own and maintain and use for display and demonstrative purposes any objects reflecting the heritage of specifically BEATTY NEVADA and THE BULLFROG MINING DISTRICT, including the surrounding camps of the area and generally Nye County and the State of Nevada.

Principle Location:  The principal offices or place of business of this corporation is located at 417 W. Main Street - Beatty, Nevada. The mailing address is P.O. Box 244 - Beatty, Nevada 89003.

Power of Corporation:  This corporation shall have all the powers and authority conferred by NRS 81.410.

Governing Board:  The members of the governing board of this corporation will be known as directors and officers.

President - Two year term
Vice- President - Two year term
Secretary - Two year term
Treasurer - Two year term
2 one-year directors
2 two-year directors
1 three-year director

VI

Membership:  Members in good standing will choose the board of directors. The board of directors will run the affairs of the museum.

VII

Exhibits:  Each person loaning an item for display will be given a copy of an entry form describing the item, date of entry, donor, and legal owner. With a receipt, any item can be claimed any time by the contributing person or designated family member. A copy will be kept on file with the museum.

VIII

Insurance:  It is understood that the Beatty Museum Society is covered under the Nye County umbrella clause liability insurance policy.

IX

No part of the net earnings of the corporation shall ever inure to or for the benefit of its members, directors, officers or other private agency, except that the corporation shall be empowered to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of the exempt purposes for which it was formed.

Not with standing any other provisions of these articles, this organization shall not carry on any activities not permitted to be carried on by an organization exempt from Federal Income Tax under section 501 (c) (3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

XI

No substantial part of the activities of the corporation shall be carrying on propaganda, or otherwise attempting to influence legislation and the corporation shall not participate in, or intervene in any political campaign on behalf of any candidate for public office.

XII

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code of 1986, or corresponding section of any future Federal tax code, or shall be distributed to the Federal, State, or local government for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the organization is then located, exclusively for such purposes.

XIII

The duration of the existence of this corporation is the maximum allowed under NRS 81.140.
